PISA AG / SO Pizza

 

  1. Fundamentals

These General Terms and Conditions (GTC) govern the legal relationship between PISA AG / SO Pizza and its guests.

For the sake of simplicity, the term contract is always used in these GTC, regardless of the service.

The terms and conditions of PISA AG / SO Pizza valid at the time of conclusion of the contract shall apply exclusively.

The guest’s general terms and conditions shall only apply if this has been expressly agreed in writing prior to acceptance of the contract.

 

  1. Severability clause

Should individual provisions of these GTC be or become invalid or void, this shall not affect the validity of the contract and the remaining GTC provisions. The invalid provisions shall be replaced by such agreements that correspond to the legal and economic content of the agreement made in a permissible manner.

 

  1. Place of jurisdiction / Applicable law

The place of jurisdiction for any disputes arising from this contract is Zurich, unless another legally binding place of jurisdiction exists.

Swiss law shall apply exclusively to all contracts, reservations, any additional agreements and general terms and conditions. The place of performance and payment is the registered office of PISA AG / SO Pizza.

 

  1. Validity

These GTC are valid from March 1, 2024 and will cease to be valid upon the publication of new documentation.

Written confirmations: Written confirmations are e-mail, SMS and WhatsApp messages.

The contractual partners are the guest and PISA AG / SO Pizza.

 

  1. Subject matter of the contract / scope of application

The contract for the reservation of seats at tables or areas of the restaurant and the purchase of other deliveries and services shall come into effect upon written confirmation by PISA AG / SO Pizza. Amendments to the contract shall only become binding for PISA AG / SO Pizza upon (written) reconfirmation. Unilateral amendments or additions to the contract by the guest shall be invalid.

 

  1. Scope of services

The scope of the contract is determined by the guest’s individual reservation.

Reservations can only be made via the reservation system at www.so.pizza. Reservations up to and including 6 persons can be adjusted or canceled by the guest up to 15 minutes before the reservation via the link sent in the confirmation email.

The following rules apply to group reservations of 7 to 14 guests:

The person making the reservation is the contact person and is responsible for compliance with the following points.

It is important that the group is informed about the rules and the concept.

A minimum average consumption of CHF 50.00 is expected per reserved seat (November and December CHF 55.00).

A deposit of CHF 50.00 per reserved seat must be paid in advance for a reservation. This amount will be charged to the guest directly via “Stripe” when the reservation is made. Changes will be accepted by 12.00 noon on the day before the reservation by e-mail. Cancellations are possible up to 7 days before the reservation via the link in the confirmation e-mail. Otherwise the number of reserved seats will be charged, even if fewer guests show up. The person making the reservation is responsible for payment on the basis of the deposit. Individual payment is not possible for groups.

Any special requirements can be entered in the message field or sent by e-mail in good time (at least 24 hours before the reservation).

Subject to other contractual agreements, the guest is not entitled to a specific table.

Should more or fewer guests arrive/leave the agreed reservation unannounced, PISA AG / SO Pizza may freely relocate these guests and/or distribute them over several tables.

 

  1. Options/Inquiries

Option dates are non-binding for both parties. During the option period, PISA AG / SO Pizza may dispose of all tables / areas. Tables / areas will only be reserved once a deposit has been paid.

 

  1. Prices / Payment obligation / Terms of payment

Prices are quoted in Swiss francs (CHF) and include statutory value added tax.

The guest is obliged to pay the agreed or applicable prices of PISA AG / SO Pizza for the services used. This shall also apply to services and expenses of PISA AG / SO Pizza to third parties arranged by the guest, their companions and visitors.

Any increase in statutory charges after conclusion of the contract shall be borne by the guest. Prices in foreign currencies are approximate and will be charged at the current exchange rate. All published prices may be adjusted at any time without notice to the guest. The prices confirmed by PISA AG / SO Pizza are valid.

Depending on the agreement, PISA AG / SO Pizza may require a down payment of 50-100% of the total booking amount. The deposit is to be understood as a partial payment of the agreed fee. An advance payment must be transferred within 5 days of receipt of the reservation confirmation. If the reservation is made at shorter notice, PISA AG / SO Pizza will require a credit card guarantee for the entire booking amount.

If the down payment or credit card guarantee is not made on time, PISA AG / SO Pizza may terminate the contract immediately (without a reminder) or withdraw from the service promises made and demand the cancellation costs specified in Section 9.

PISA AG / SO Pizza shall have the right to invoice or interim invoice its services at any time.

The final invoice shall include the agreed price plus any additional amounts incurred as a result of separate services provided by PISA AG / SO Pizza for the guest and/or the persons accompanying the guest. Unless otherwise agreed, the final invoice must be paid by the end of the reservation at the latest, in Swiss francs or by an accepted credit card.

If the outstanding amount is paid by invoice, a payment period of 30 days applies. We reserve the right to agree other payment periods, including advance payments, in writing. No commissions are granted. Printing errors and changes, such as vintage changes for wines, are expressly reserved.

From the 30th day after the invoice date, PISA AG / SO Pizza shall be entitled to charge default interest in the amount of 5%, unless PISA AG / SO Pizza proves higher default interest or the guest proves a lower charge from PISA AG / SO Pizza. Checks are not accepted. Any expenses shall be borne by the guest. Offsetting is only permitted with undisputed or legally established claims. The Guest may only assert a right of retention if it is based on the same contractual relationship. PISA AG / SO Pizza may charge a reminder fee of CHF 50.00 for each reminder. The defense of set-off against claims of PISA AG / SO Pizza is excluded.

 

  1. Resignation by PISA AG / SO Pizza

PISA AG / SO Pizza may withdraw from the contract by unilateral (written) declaration without incurring any costs up to 3 months before the agreed date at the latest.

Furthermore, PISA AG / SO Pizza shall be entitled to withdraw from the contract extraordinarily for objectively justified reasons by means of a unilateral (written) declaration:

Objectively justified reasons include, for example:

PISA AG / SO Pizza has reasonable grounds to believe that the use of the agreed services may impair the smooth operation of the business, the safety of other guests or the reputation of PISA AG / SO Pizza;

In the event of withdrawal by PISA AG / SO Pizza for the aforementioned reasons, the guest shall not be entitled to any compensation and the compensation for the booked service shall remain owed in principle.

 

Cancellation policy

Withdrawal by the guest from the contract concluded with PISA AG / SO Pizza shall require the written consent of PISA AG / SO Pizza. If this is not given, the agreed price under the contract shall be payable even if the guest does not make use of contractual services. If the guest does not show up (“no-show”), 100% of the booked service shall be charged.

Decisive for the calculation of the cancellation fee to be paid is the receipt of the guest’s written cancellation by the restaurant. This applies to e-mail messages, SMS/Whatsapp messages and messages via the link in the confirmation e-mail. In the event of arrival at weekends or on public holidays, the next working day is decisive.

If the guest withdraws from the contract or changes or cancels certain reserved services, PISA AG / SO Pizza may charge the following cancellation fees.

 

Third performance:

Cancellation is received:

-More than 1 month before the start of the order → No costs

-between 1 month and 2 weeks before the start of the order → 50% of the order amount

-less than 2 weeks before the start of the order → 100% of the order amount

 

Restaurant service for groups:

If a reservation/event cannot be carried out for reasons that are not attributable to PISA AG / SO Pizza and for which PISA AG / SO Pizza is not responsible, PISA AG / SO Pizza shall retain the right to (partial) payment of the agreed service in accordance with the order confirmation, taking into account the receipt of the written cancellation as follows:

 

Cancellation is received:

-more than 14 days before the event → expenses already effectively incurred

-between 14 and 7 days before the event→ 50 % of the catering service

-between 7 and 1 day before the event → 100% of the catering service

Conditions for events in November and December:

Cancellations for reservations during this period are only possible free of charge up to 2 months before the confirmed event date.

For all reservations during these times, a 100% advance payment may be required, which the guest must pay immediately, but by the end of the deadline set. If the advance payment is not made, PISA AG / SO Pizza may rent/occupy the rooms to someone else. Any resulting expenses may be charged to the party responsible.

 

In the event of cancellation more than 30 days before the reservation, the advance payment will be refunded. The advance payment will be retained if the reservation is canceled less than 30 days in advance.

 

  1. Food and drinks

All food and drinks are to be purchased exclusively from PISA AG / SO Pizza.

In special cases (specialties, etc.), a different written agreement can be made. In such a case, PISA AG / SO Pizza is entitled to charge a service fee or a tap fee (according to a separate list).

 

  1. Tap money

If the guest wishes to bring their own wine, PISA AG / SO Pizza will charge CHF 40.00 per bottle. For other food and drinks brought in by the guest (e.g. birthday cake etc.) the surcharge will be offered individually.

 

  1. Smoking

By concluding a contract, the guest acquires the right to the customary use of the rented rooms and the facilities of PISA AG / SO Pizza, which are usually accessible to guests for use without special conditions, and to the customary service. The guest must exercise his rights in accordance with any guidelines (house rules).

Smoking is prohibited throughout the PISA AG / SO Pizza building. The places where smoking is permitted are marked accordingly.

 

  1. Insurance

Insurance for materials brought in is the responsibility of the guest in all cases. PISA AG / SO Pizza may request proof of insurance before confirming the reservation.

 

  1. Liability and contract lawa) PISA AG / SO Pizza

– PISA AG / SO Pizza accepts no liability for slight and medium negligence to the extent permitted by law and is only liable for damage caused intentionally or by gross negligence.

– PISA AG / SO Pizza shall be liable for items brought in by guests in accordance with the statutory provisions. PISA AG / SO Pizza shall not be liable for slight or moderate negligence.

– PISA AG / SO Pizza accepts no liability for theft of or damage to material brought in by third parties.

– PISA AG / SO Pizza shall not be liable under any legal title for services which it has merely arranged for the guest (see also Section 18).

  1. b) Guest

The guest shall be liable to PISA AG / SO Pizza for all damage and losses caused by him, his companions or assistants or event participants, without PISA AG / SO Pizza having to prove fault on the part of the guest.

If a third party has made the booking on behalf of the actual guest, the third party shall be liable to the restaurant as joint and several debtor for all obligations arising from the contract.

The guest is liable for services and expenses incurred by the restaurant to third parties.

 

  1. Items brought in by the guest

Any exhibits or other items, including personal items, brought into the premises or the entire area are at the risk of the guest. PISA AG / SO Pizza assumes no obligation to guard or store such items. PISA AG / SO Pizza accepts no liability for the loss of or damage to items brought onto the premises, except in cases of gross negligence or intent on the part of PISA AG / SO Pizza. The guest shall be responsible for insuring any items brought in.

Any decoration material brought along must comply with fire safety requirements. PISA AG / SO Pizza shall be entitled to demand official proof of this. Due to the possibility of damage, the installation and attachment of objects must be agreed with PISA AG / SO Pizza in advance.

Any exhibits or other items brought in must be removed immediately after the end of the event. PISA AG / SO Pizza may have items left behind removed and/or stored at the guest’s expense. If the removal involves disproportionate effort, the restaurant may leave the items in the event room and charge the guest the usual room rent for the duration of their retention.

Packaging material (cardboard, crates, plastic, etc.) that arises in connection with the delivery of the event by the guest or third parties must be disposed of by the guest. If the guest leaves packaging material behind in the restaurant, PISA AG / SO Pizza shall be entitled to dispose of it at the guest’s expense.

 

  1. Illness or death of the guest

If a guest falls ill during their stay, PISA AG / SO Pizza shall notify a doctor at the guest’s request. If the guest is no longer capable of acting and PISA AG / SO Pizza is aware of the illness, it may also notify a doctor without being requested to do so by the guest. In all cases, medical care shall be provided at the guest’s expense.

The contract with PISA AG / SO Pizza ends with the death of the guest.

 

  1. Animal husbandry

The only animals allowed in the restaurant are dogs and no more than two per reservation.

The guest who brings a dog is obliged to keep or supervise it properly during his stay or to have it kept or supervised by a suitable third party at his own expense.

The guest must have appropriate pet owner’s insurance for their dog.

 

  1. Internet

A password is required to access the internet/wifi. The service is free of charge for all guests. The guest is responsible for the use of the Internet. They are liable for misuse and illegal behavior when using the Internet.

 

  1. Data protection

The customer’s personal data required for order processing will be stored and processed. The guest hereby expressly declares his consent. All personal data will of course be treated confidentially. Further information on data protection, according to the PISA AG / SO Pizza privacy policy.

 

  1. Right to use photos

PISA AG / SO Pizza reserves the right to use a photographer during opening hours and/or events. The guest or each participant irrevocably consents to the use of the images free of charge. PISA AG / SO Pizza may use the photos and images taken on the occasion of the event for its own commercial purposes.

 

  1. Restaurant

Declaration

All meat products come from Italy and Switzerland, unless otherwise declared. PISA AG / SO Pizza does not serve alcohol (beer, wine and fermented must) to guests under the age of 16, nor spirits to guests under the age of 18.

 

  1. Occasions / events (venue is rented exclusively)

An event may include services for the event room, catering, technical facilities and other services.

 

Number of participants

The guest undertakes to inform the restaurant of the binding number of participants for an event no later than 7 working days before the date of the event. In the event of a later reduction in the number of participants stated by the guest compared to the final number of participants, the communicated number of participants shall apply.

If the actual number of participants increases at a later date, invoicing will be based on the actual number of participants, subject to feasibility.

 

Extensions

If the duration of the reserved event is likely to exceed the statutory closing time, the guest must contact PISA AG / SO Pizza at least 30 days before the start of the event so that the necessary permits can be obtained. A maximum extension until 2.00 a.m. is possible. PISA AG / SO Pizza cannot guarantee that permits will be granted. The following additional costs will be charged to the guest:

– Minimum turnover per commenced hour after 00.30 hrs: CHF 500.00

– Police permit: CHF 60.00

PISA AG / SO Pizza has the right to expel the event participants from the premises once the extension permit has expired.

Cancellation by PISA AG / SO Pizza and procedure for canceling events

See section 9 of these GTC.

 

Duration of the event

If the agreed start or end times of the event are postponed without the prior written consent of PISA AG / SO Pizza, the restaurant may charge additional costs for the provision of staff and equipment, unless PISA AG / SO Pizza itself is responsible for the postponement.

 

Handling of events

Insofar as PISA AG / SO Pizza procures technical and other equipment from third parties for the guest at the guest’s request, it shall act for the account of the guest.

The guest shall be liable for the careful handling and proper return of the facilities. PISA AG / SO Pizza shall be indemnified by the guest against all third-party claims arising from the provision of these facilities.

The use of the guest’s own electrical equipment and appliances using the PISA AG / SO Pizza electricity network shall require the prior written consent of PISA AG / SO Pizza. Any malfunctions or damage to the restaurant’s technical equipment caused by the use of these appliances and equipment shall be borne by the guest, unless PISA AG / SO Pizza is responsible for them. PISA AG / SO Pizza may record and charge a flat rate for the electricity costs incurred through the use of the electrical systems and equipment.

With the consent of PISA AG / SO Pizza, the guest is entitled to use their own telephone and data transmission equipment. PISA AG / SO Pizza may charge connection fees for this.

Faults in technical or other equipment provided by PISA AG / SO Pizza shall be rectified as quickly as possible upon notification by the guest. Insofar as PISA AG / SO Pizza is not responsible for the malfunctions, such malfunctions shall not reduce any claims for performance or give rise to any liability.

The guest must obtain any official permits required for the event at his own expense. The guest is responsible for complying with the permits and all other public law regulations in connection with the event. Fines due to a breach of the permits are to be paid by the guest.

The guest is responsible for handling the formalities and settlements required in connection with music performances and sound reinforcement with the responsible institutions (e.g. SUISA).

 

  1. Lost property

Lost property will be disposed of after a one-week retention period. If the guest does not contact us during this period, he/she is not entitled to any compensation and/or damages.

 

  1. Vouchers

Vouchers issued by PISA AG / SO Pizza can be redeemed in all SO Pizza restaurants. Lost vouchers will not be replaced. Vouchers can also not be returned for cash value. If the value of the voucher is more than the service consumed, there is no entitlement to a residual payment of the outstanding voucher amount. PISA AG / SO Pizza is not obliged to accept unpaid vouchers as a means of payment.

 

Voucher order

Guests can obtain vouchers during opening hours in the restaurants or order them by email. The voucher will be delivered after payment of the full invoice amount has been received, unless otherwise agreed.

Right of withdrawal and expiry of vouchers

There is no right of revocation for vouchers that have been issued and handed over to the guest.

Should PISA AG / SO Pizza have to close or give up its business for any reason, the vouchers shall expire without compensation. This is also the case if the business demonstrably changes ownership. In such a case, no recourse can be taken to PISA AG / SO Pizza as the original issuer of the vouchers.

 

  1. Further provisions

If the guest requests services that are not provided by PISA AG / SO Pizza itself, PISA AG / SO Pizza shall only act as an intermediary.

The statutory limitation periods shall apply. Insofar as these can be amended, an absolute limitation period of 6 months after the visit shall apply to claims for damages by the guest.

Advertisements in media (such as newspapers, radio, television, internet, apps) with reference to PISA AG / SO Pizza events, with or without the use of the unchanged company logo, require the prior written consent of PISA AG / SO Pizza.
